Retention circumstances
We apply retention clauses in all Joint Contracts Tribunal (JCT) construction contracts, which we use for our major construction and renovation projects. These clauses are included as standard and are not removed. We do not use retention provisions in any other type of construction contract.
JCT contracts are widely recognised across the UK construction industry and provide a consistent and well‑understood framework for both Bupa and our contractors. Including retention provisions in these contracts is an established industry practice designed to offer protection and assurance during the delivery of significant construction works.
Retention release
Retention monies are released in staged payments aligned to agreed construction milestones. Typically, a portion of the retention is released when the project reaches practical completion. The remaining balance (subject to any outstanding claims) is released at the end of the defects liability period, once all identified defects have been fully resolved and formally signed off.

Retention monies are released at defined stages throughout the contract:
Practical completion: Usually 50% of the retention is returned once the works are completed to the required standard.
End of the defects liability period: The remaining balance is released following certification that all defects have been addressed, typically around 12 months after practical completion.

Our standard payment terms are to pay suppliers within 45 days from the end of the month in which we receive the relevant valid invoice from the supplier. We will always try to trade on these terms with all suppliers, except where there are material circumstances which may alter this standard approach.

If the supplier has a dispute, they wish to raise they should notify Bupa in writing setting out full details of the issue in dispute formally (and to contractnotices@bupa.com). The dispute will be assessed by the Bupa representatives. Bupa will seek to resolve dispute within 15 business days.
If the parties are unable to resolve the dispute within 15 business days (despite endeavouring to promptly resolve) they are free to initiate further proceedings (whether Alternative Dispute Resolution or court proceedings).
